Functional or process approach in managing the organization. Decision dilemmas of modern multi-entity organizations

Purpose: This elaboration aims at answering the question: Does a domestic subsidiary of a German company apply functional or process approach in management? The first part of the article characterizes the functional and process approach. The second part includes results of the studies on approaches applied in the managing of a subsidiary of a national German company of automotive industry. Design/methodology/approach: The article is based on the analysis of secondary sources (scientific literature and corporate documents of studied subsidiaries) as well as on the analysis of primary sources (the results of an interview with the director of the company). Findings: Deciding on a change of approach in the management of a multi-entity organization should be well considered and preceded by a comprehensive analysis of the solutions guaranteeing optimal execution of the tasks resulting in customer satisfaction. While the functional approach exhausts, in a sense, the possibility of its further modification to achieve tangible benefits for the organization, the process approach, despite many problems it can generate, its scale of complexity in implementation, gives greater benefits in terms of capacity to react to external imbalances. The traditional arrangement of functions based on the functional layout will continue to be of interest for the management of the parent unit and subsidiaries. Research limitations/implications: The elaboration of the approach to management does not fully address the issues and concerns that are presented here. However, they point to many areas that need to be taken into account in further theoretical and empirical studies. The business practice provides many examples in this regard, including unsuccessful reorganizations in the "purely" process direction. One might even say that multi-entity organizations applying the parameters of the process organization in full are rather scarce. Social implications: Not applicable. Originality/value: It has been shown on the basis of the studies that despite the separation of processes and directing the staff towards the final product the traditional (functional) approach regarding management dominates in the company.

Celem referatu jest porównanie teoretycznych aspektów funkcjonowania grup kapitałowych z podstawowymi założeniami teorii organizacji sieciowych. Grupy kapitałowe, z uwagi na powszechność ich występowania w rzeczywistości gospodarczej, stanowią ważny podmiot badań w nauce o zarządzaniu. Specyfika tych organizacji uprawnia do stwierdzenia, że można je uznać za formę organizacji sieciowych. Należy jednak mieć na uwadze, że nie wszystkie cechy organizacji sieciowych odpowiadają grupom kapitałowym.

The aim of this paper is to compare the theoretical aspects of the business groups and the basic assumptions of the theory of network organizations. Business groups are an important subjects of research in the management sciences. Business group can be considered as a form of network organization, but not all of the features of network organization are assigned to business group.

Artykuł zawiera wyniki badań zmian lokalizacji funkcji organicznych w strukturze organizacji wielopodmiotowej. Badania trwały pięć lat (2010-2014) i objęły wszystkie jednostki zależne krajowego przedsiębiorstwa wielozakładowego funkcjonującego w branży górniczej i hutniczej. Empiryczny charakter opracowania wyznaczył następujące jego części: wstęp, założenia i metodę badawczą, charakterystykę obiektu badanego, wyniki badań, autorską propozycję możliwych dalszych kierunków zmian.

The article contains the results of a study in terms of changes in corporate functions location in the structure of a multi-entity organization. The study lasted five years (2010-2014) and included all the subsidiaries of the national multi-plant company operating in the mining and metallurgical industry. The empirical nature of the study has been determined by the following sections: introduction, assumptions and research results, author’s suggestion of possible further direction of changes.

The situation that another organizational entity is obtaining a dominant position over a commercial company is a serious challenge to law. The legislator in different regulatory areas is facing the problem how to define this state and what legal consequences to attribute to it. In this article an attempt is made to examine the development of the regulations on the domination over commercial companies. The analysis includes Polish law regulations starting from the first references of domination from the beginning of the 1990s to the present. The research will concern the definitions of domination and its consequences in the most important fields of law, taking into account the following changes in this respect. The purpose of research is first of all the analysis of the development of regulations with the aim to establish in which direction they are evolving, next, an attempt is made to organize various concepts, in particular to establish whether different definitions of domination are adequate to the needs on the ground of individual laws (acts), or whether it would be reasonable to harmonize the definition of domination.

Sytuacja, w której pozycję dominującą nad spółką handlową uzyskuje inna jednostka organizacyjna, to poważne wyzwanie dla prawa. Ustawodawca w różnych obszarach regulacyjnych staje przed problemem, jak ten stan ująć (zdefiniować) i jakie mu przypisać konsekwencje prawne. W artykule podjęta zostanie próba zbadania rozwoju unormowań dominacji nad spółkami handlowymi. Analizą objęte zostaną regulacje prawa polskiego począwszy od pierwszych unormowań dominacji z początku lat 90. XX w. do chwili obecnej. Badania dotyczyć będą ujęć definicyjnych dominacji i jej skutków w najważniejszych dziedzinach prawa, z uwzględnieniem następujących w tym zakresie zmian. Celem badań jest przede wszystkim analiza rozwoju regulacji, z perspektywą ustalenia, w jakim kierunku ewoluują, próba uporządkowania różnorodnych ujęć, a zwłaszcza stwierdzenia, czy różne ujęcia (definicje) dominacji są adekwatne do potrzeb na gruncie poszczególnych ustaw, czy też zasadne byłoby ujednolicenie definicji dominacji.
